Terms of Service

These Terms of Service ("Terms") govern your use of GoodReply's AI voice receptionist, dashboard, and related websites (collectively, the "Services"). By creating an account, clicking an "I agree" button, or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business.

1. Eligibility and accounts

  • You must be at least 18 years old and reside in the United States to use the Services.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree to provide accurate information and to keep it current.

2. The Services

GoodReply provides an AI voice receptionist that answers inbound calls to a phone number you forward to us, and may, depending on your configuration, take reservations, take voicemails, transfer calls, and send confirmation text messages to callers who verbally opt in. The Services are software, and behave like software: output may occasionally be incorrect, delayed, or unavailable.

You, the Subscriber, remain responsible for your relationship with your callers and customers, including fulfilling commitments made during AI conversations (seating reservations, returning voicemails, etc.).

3. Acceptable use

You agree not to use the Services to:

  • violate any law or third-party right;
  • engage in spam, harassing, deceptive, or high-risk communications;
  • send text messages outside the scope disclosed in our 10DLC messaging campaign (transactional reservation confirmations that a caller verbally opted into during a live phone call);
  • collect information about anyone other than what is necessary to answer their call;
  • attempt to reverse engineer, decompile, interfere with, or circumvent the Services' security or rate limits;
  • misrepresent the AI to your callers in a way that violates applicable law (e.g., in jurisdictions requiring AI disclosure).

4. SMS and 10DLC compliance

GoodReply sends transactional SMS to callers only after an explicit verbal opt-in captured during a live phone call — specifically, in response to the AI asking, "Would you like me to text you the confirmation code?" or substantively similar wording. You, as a Subscriber, agree not to request that GoodReply send any SMS that falls outside our registered 10DLC campaign use case ("Confirmation and reminder messages for clients who schedule appointments by phone"). GoodReply will automatically handle STOP, HELP, and UNSUBSCRIBE keywords on the shared platform sender number.

5. Fees and billing

During the pilot period, pricing, billing cadence, and included usage may be communicated to you by separate written agreement (including email). Where fees apply, GoodReply charges a monthly subscription and/or per-minute usage fees as described at the time of purchase. Fees are in US dollars and exclusive of applicable taxes, which are your responsibility.

Unless stated otherwise in writing, fees are non-refundable and subscriptions renew automatically at the end of each billing period. You may cancel at any time; cancellation takes effect at the end of your current billing period.

6. Your content and data

You retain all rights in the business data you provide (menus, hours, reservation rules, etc.) and the call recordings, transcripts, and reservation records generated through your use of the Services ("Your Data"). You grant GoodReply a worldwide, non-exclusive, royalty-free license to host, process, and transmit Your Data solely for the purpose of operating, securing, improving, and supporting the Services.

GoodReply may use de-identified, aggregated data derived from Your Data to evaluate and improve the Services. We do not use identifiable Caller voice or transcript data to train third-party AI models.

7. Third-party services

The Services rely on third-party infrastructure — including Twilio (telephony + SMS), OpenAI (language models), Cloudflare, and Akamai/Linode. Your use of the Services is also subject to those providers' terms where applicable. We select reputable providers and contract them to protect your data, but we are not responsible for outages or acts outside our control.

8. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Termination

You may cancel your account at any time via the dashboard or by contacting support. We may suspend or terminate your access immediately if you materially breach these Terms, if your use of the Services creates a risk to GoodReply or others, or as required by law. Upon termination, you have 30 days to export Your Data; afterward we may delete it in accordance with our retention schedule.

10. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GOODREPLY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SUITED FOR ANY PARTICULAR CALLER'S REQUEST.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODREPLY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GOODREPLY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). GOODREPLY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.

12. Indemnification

You will defend, indemnify, and hold harmless GoodReply from and against any third-party claims, damages, liabilities, and costs (including reasonable attorneys' fees) arising out of your misuse of the Services, your breach of these Terms, or your violation of any law or third-party right, including in connection with communications sent to your callers.

13. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. The parties agree to first attempt to resolve any dispute informally by contacting legal@goodreply.ai. If the dispute is not resolved within 60 days, the parties consent to the exclusive jurisdiction of the state and federal courts located in Iron County, Utah for any action arising out of or relating to these Terms.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will post the revised Terms on this page and update the "Last updated" date above. If you keep using the Services after changes take effect, you accept the revised Terms.
